Terms & Conditions

Welcome to EduCatalyst!

These Terms and Conditions outline the terms under which EduCatalyst, LLC (“EduCatalyst,” “we,” or “us”) provides educational consulting services to clients, including families, educators, school administrators, and educational organizations. By engaging in our services, you agree to comply with these terms, as well as any amendments that we may implement from time to time.

 

1. Definitions

- EduCatalyst refers to EduCatalyst, LLC, a Texas-based educational consulting firm, and its representatives, employees, consultants, and affiliates.

- Client refers to any individual, educational institution, or organization that engages in a service agreement with EduCatalyst.

 

2. Services Provided

EduCatalyst specializes in educational consulting services designed to support family engagement, student achievement, educator development, and school improvement initiatives. These services include, but are not limited to, workshops, coaching, advocacy, and customized consulting sessions to meet client-specific needs. The exact nature and scope of services will be documented in the service agreement with each client.

3. Rights and Obligations

- Client Obligations: Clients agree to provide accurate, timely, and relevant information to facilitate the success of services. Active participation in workshops, coaching sessions, and other engagements is expected to maximize outcomes.

- EduCatalyst Obligations: EduCatalyst is committed to delivering professional, high-quality consulting services tailored to client needs. We will use reasonable efforts to achieve mutually agreed-upon objectives, respecting the unique context and priorities of each client.

 

4. Confidentiality and Data Privacy

EduCatalyst respects and prioritizes client confidentiality and data privacy in compliance with applicable Texas and federal data protection laws. Information shared during engagements will be used exclusively for service delivery and improvement. Client data will not be disclosed to third parties without explicit consent, except as required by law. Clients are expected to maintain the confidentiality of proprietary materials, methodologies, and resources provided by EduCatalyst.

 

5. Payment and Billing

- Fees and Invoicing: All fees and payment terms for services, including workshops, coaching sessions, and other engagements, will be clearly outlined in a written agreement with the client. Invoices are payable within 15 days from the date of receipt.

- Late Payments: Payments not received by the due date may incur late fees, and EduCatalyst reserves the right to suspend services until outstanding balances are settled.

- Cancellations: Clients may cancel scheduled services within 7 days notice to avoid cancellation fees.Cancellations made with less than the required notice period may incur a fee of 50% of the service fee.

​

-Refunds: Refunds will be considered on a case-by-case basis for cancellations with valid notice. For cancellations made after the required notice period, no refunds will be issued. If a service is canceled by EduCatalyst, a full refund will be provided, or the client may opt to reschedule at no additional cost.

6. Intellectual Property

All educational materials, training resources, and tools provided by EduCatalyst are protected by intellectual property laws. Clients are granted a limited, non-transferable license to use these materials solely for personal or organizational purposes during the term of the engagement. Unauthorized reproduction, distribution, or public display of EduCatalyst’s materials without prior written permission is strictly prohibited.

7. Modification of Services

EduCatalyst reserves the right to modify, enhance, or discontinue any of its services. Any significant changes will be communicated to clients promptly, and agreements will be adjusted accordingly, if necessary.

 

8. Limitation of Liability

To the fullest extent permitted by Texas law, EduCatalyst shall not be liable for any indirect, incidental, or consequential damages arising out of or related to our services. Any liability on the part of EduCatalyst shall be limited to the amount paid by the client for the specific service that gave rise to the claim.

 

9. Termination

Either party may terminate the service agreement upon 7 days written notice. In the event of termination, clients will be billed for services rendered up to the termination date.

10. Governing Law

These Terms and Conditions shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

 

11. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through informal negotiation. If an agreement cannot be reached, the dispute shall be submitted to mediation in Texas, with the parties sharing the cost equally.
